Nothing within these terms affects the statutory rights of customers acting as consumers.

2. Quotations, Pricing and Rates

All quotations are provided based on the information available at the time and may be subject to revision if the scope of work changes.

Charges for services may vary depending on the equipment, systems, software, complexity and time involved.

Where a fixed price has been agreed in writing, that price will apply to the specified work unless additional services or amendments are requested.

Additional work outside an agreed specification may be charged separately, following notification to the customer.

Falcon Media reserves the right to revise its rates and recurring service charges by giving reasonable advance notice, subject to contractual obligations and applicable law.

All prices are exclusive of VAT unless otherwise stated.

3. Payment Terms

Unless alternative payment arrangements have been agreed in writing, invoices are payable immediately upon issue or by the due date specified on the invoice.

Approved account customers may be granted payment terms of up to 30 days.

Our preferred payment method for regular transactions is Direct Debit.

Bank transfers can be made using the following details:

Account Name: Falcon Media Services Ltd
Sort Code: 04-13-76

Please use your invoice number as the payment reference.

Other payment methods may be available as indicated on the invoice.

All goods supplied remain the property of Falcon Media until paid for in full, where legally applicable.

Late Payments

Falcon Media reserves the right to charge statutory interest on qualifying overdue commercial invoices at 8% per annum above the Bank of England base rate, calculated in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

We also reserve the right to recover statutory debt recovery costs where permitted by law.

Where invoices remain unpaid, Falcon Media may suspend or restrict affected services after appropriate notice, subject to applicable law.

Customers remain liable for outstanding contractual charges following suspension or termination.

4. Support Services

Support for Falcon Media products and services is provided through a priority-based ticketing system.

Support requests should initially be submitted through our support portal:

https://falconmedia.co.uk/support/

Requests will be assessed and prioritised according to severity, impact and contractual support entitlement.

Where customers cannot access the support portal, they may telephone:

0330 555 1000

This telephone number may not be continuously staffed. Customers should leave a message outlining the issue, their contact details and the affected service.

A support ticket will be created on their behalf where appropriate.

Response times are dependent on the nature of the problem, available resources and any agreed service-level arrangements.

Unless expressly provided under a separate agreement, Falcon Media does not guarantee continuous 24-hour support or specific resolution times.

5. Website Design and Development

All website design and development projects are undertaken according to an agreed specification.

Customers are responsible for providing necessary text, images, branding, product details and other materials required for completion.

The customer must ensure that all supplied content is accurate, lawful and appropriately licensed.

Falcon Media will provide reasonable opportunities to review and approve work before completion.

Once a website has been approved, completed or launched, additional alterations may incur charges unless specifically included in an ongoing maintenance agreement.

Falcon Media does not guarantee particular search engine rankings, website traffic levels, sales or commercial results.

Customers are responsible for reviewing and approving website content, including any legal notices, privacy information and business-specific regulatory disclosures.

6. Website Hosting, Domains and Internet Services

Website hosting, domain registration, email hosting and associated internet services are charged monthly or annually according to the agreed service arrangements.

Domain registrations and renewals are normally payable in advance.

A minimum of one full calendar month’s written notice is required to cancel or discontinue a recurring service before its next renewal date, unless otherwise agreed in writing or required by law.

Where a domain name, software licence or third-party subscription has already been renewed or purchased on the customer’s behalf, associated non-refundable charges remain payable where contractually agreed and legally permitted.

Customers remain responsible for maintaining appropriate backups of their websites, databases, emails and associated content unless an expressly agreed managed backup service has been purchased.

Falcon Media takes reasonable precautions to ensure hosting reliability but cannot guarantee uninterrupted availability.

Scheduled maintenance, hardware failure, cyber incidents, upstream connectivity issues and third-party service interruptions may occasionally affect availability.

Falcon Media may temporarily suspend services where necessary to protect infrastructure, address security threats, comply with legal obligations or prevent abuse.

Customers must not use hosting or email facilities for unlawful activity, unsolicited bulk messaging, malware distribution, copyright infringement or activities that threaten network security.

Domain names registered on behalf of customers remain subject to applicable registry conditions and registration agreements.

Domain names expressly supplied under a leasing arrangement are governed by the relevant lease agreement.

Upon termination, hosted content and data may be deleted following the applicable retention period, subject to legal obligations and any agreed migration arrangements.

7. Managed IT, Microsoft 365 and Cloud Services

Falcon Media provides managed IT services, cloud solutions, Microsoft 365 administration, networking, cybersecurity and associated technical support.

The extent of support and management provided will depend upon the customer’s service agreement.

Customers remain responsible for appropriate staff access permissions, lawful system use, internal security policies and the protection of their own credentials.

Third-party services, including Microsoft 365, cloud hosting, software subscriptions and security products, remain subject to the relevant provider’s licence conditions.

Falcon Media cannot guarantee that any system will remain permanently secure, uninterrupted or free from malicious activity.

Customers should maintain suitable business continuity and disaster recovery arrangements.

Data restoration, specialist recovery work and incident response may incur additional charges unless included in the customer’s agreement.

8. Social Media Management and Digital Marketing

Falcon Media provides social media management, digital advertising, campaign development, content creation, graphic design and associated promotional services.

Services may include managing customer social media accounts, producing promotional artwork, creating posts, scheduling content, advertising campaigns and maintaining an online brand presence.

Customers are responsible for providing accurate information and ensuring that any material supplied for publication is lawful and does not infringe third-party rights.

Where Falcon Media has been authorised to manage social media accounts, the customer grants permission to access, maintain and publish content through those accounts within the agreed scope of work.

Advertising expenditure, boosted posts, third-party subscriptions and platform charges are separate from Falcon Media’s management fees unless expressly included in the agreement.

Falcon Media does not guarantee specific audience growth, advertising reach, engagement levels, sales or financial returns.

Social media providers may change their platforms, policies, algorithms or advertising requirements without notice.

Falcon Media accepts no responsibility for independent decisions made by social media platforms, including account restrictions, content removal, advertising rejection or platform outages, except where attributable to our failure to exercise reasonable care and skill.

The customer retains ultimate responsibility for the accuracy of promotional claims, compliance with advertising regulations and the lawful operation of their business.

9. Graphic Design, Copyright and Intellectual Property

Designs, artwork, graphics, websites, promotional materials and other creative content produced by Falcon Media remain our intellectual property until payment has been received in full, unless otherwise agreed in writing.

Following full payment, customers receive the rights to use final approved materials for the purposes agreed between the parties.

Transfer of full copyright ownership, where required, must be specifically agreed in writing.

Editable source files, design templates, project files and underlying software code are not automatically included unless expressly specified.

Third-party images, fonts, templates, software and other licensed materials remain subject to their respective licensing conditions.

Customers confirm that they have the necessary rights to any logos, images, text, music or other materials supplied for use by Falcon Media.

10. Beebox and Equipment Hire

Beebox systems and other hired equipment remain the property of Falcon Media unless expressly sold to the customer.

Equipment hire is subject to availability, the agreed hire period and the charges specified in the quotation or hire agreement.

Customers are responsible for taking reasonable care of equipment throughout the hire period.

Equipment must not be modified, dismantled, transferred to another location or used in a manner inconsistent with its intended purpose without prior authorisation.

Customers must provide a suitable operating environment, safe power supply and any necessary internet connectivity.

The customer may be responsible for reasonable repair or replacement costs arising from loss, theft, misuse, negligence or damage beyond normal wear and tear, where legally recoverable.

Faults must be reported promptly to Falcon Media.

Equipment must be returned or made available for collection at the end of the agreed hire period, in accordance with the hire agreement.

Additional charges may apply where equipment is not returned on time, subject to any agreed terms and applicable law.

Where applicable, deposits, installation charges, collection charges and cancellation conditions will be confirmed before hire commences.

Falcon Media is not responsible for interruption to entertainment, advertising or digital signage services caused by failures of third-party content providers, network connections or customer-supplied infrastructure, except where legally responsible.

11. Software Licensing

All software supplied or installed by Falcon Media will be provided in accordance with applicable software licensing conditions.

Customers must hold appropriate licences for software they ask Falcon Media to install, configure or maintain.

Falcon Media reserves the right to refuse installation of software suspected to be counterfeit, unlawfully obtained or improperly licensed.

Freeware, open-source and trial software may be installed where appropriate, subject to the relevant licence terms.

Customers are responsible for complying with licence restrictions, subscription renewals and permitted usage arrangements.

12. Hardware Supply, Warranty and Repairs

New equipment supplied by Falcon Media will benefit from applicable manufacturer warranties and any statutory rights available to the purchaser.

Repairs, installations and technical services will be performed with reasonable care and skill.

Customers should report any concerns regarding completed work as soon as reasonably practicable.

Falcon Media does not accept responsibility for unrelated faults, pre-existing defects, customer modifications or damage caused through improper use.

Any warranty limitations are subject to applicable law and do not exclude rights or remedies that cannot legally be restricted.

Where equipment is taken into Falcon Media’s possession, reasonable care will be taken to safeguard it.

13. Data Recovery, Backups and Customer Equipment

Customers should maintain suitable backups before equipment is submitted for repair, inspection, software installation or other technical work.

Although Falcon Media will take reasonable precautions when handling customer equipment and information, data recovery cannot be guaranteed.

Hardware faults, storage deterioration, corruption and other technical conditions may prevent successful recovery.

Where a data recovery inspection fee is payable, this will be advised before work commences.

Additional charges for recovery attempts, replacement storage or specialist services will be agreed separately.

Falcon Media will not be responsible for losses resulting from pre-existing faults or circumstances beyond its reasonable control, except where liability arises through our negligence, breach of contract or another legally enforceable obligation.

14. On-Site Services and Security

Work undertaken at customer premises may incur travel, attendance and associated expenses. These will be notified in advance where applicable.

Customers must provide safe and reasonable access to premises, equipment and systems necessary for the work.

Customers remain responsible for the general security of their premises and equipment under their control.

Falcon Media will take reasonable care of equipment placed in its possession.

Where specialist site access, insurance, health and safety requirements or additional compliance arrangements apply, these must be notified before attendance and agreed where necessary.

15. Electrical Equipment Inspection and Testing

Electrical equipment inspection and testing services will be carried out in accordance with the agreed scope and applicable professional standards.

Testing provides an assessment of equipment condition at the time of inspection and does not guarantee continued safety throughout its working life.

Customers remain responsible for ongoing maintenance, safe equipment use and compliance with applicable health and safety obligations.

Additional remedial work, replacement items or repeat inspections will be quoted or charged separately where appropriate.

16. Service Renewals and Cancellation

Unless otherwise agreed, recurring services continue for their agreed billing periods and may renew automatically.

Customers must provide at least one full calendar month’s written notice before the next renewal date to cancel recurring services, subject to applicable law and any specific contractual arrangements.

Notice should identify the customer, affected services and requested termination date.

Notice may be submitted through the Falcon Media support portal or another agreed written communication channel.

Customers remain liable for charges properly incurred before termination, including third-party commitments and renewals already authorised.

Cancellation of hosting or email services may result in loss of access to associated services and stored data following the applicable termination and retention arrangements.

Customers should arrange any necessary transfer, migration or backup before termination.

Falcon Media may charge reasonable fees for additional migration or transfer assistance where these services fall outside the agreed contract.

17. Consumer Rights

Where customers purchase goods or services as consumers, their statutory rights remain unaffected.

Applicable consumer legislation includes the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

Where a statutory cooling-off period applies to an online or distance contract, customers may generally have 14 days to cancel, subject to the applicable rules and exceptions.

Where customers expressly request that services commence during the cancellation period, reasonable charges may apply for services already provided in accordance with the law.

Nothing in these Terms & Conditions removes or limits rights that cannot legally be excluded.

18. Acceptable Use and Service Suspension

Customers must not use services supplied by Falcon Media for illegal, fraudulent, abusive or malicious activities.

Prohibited activities include distributing malware, sending unlawful spam, facilitating cybercrime, infringing intellectual property rights and interfering with network security.

Falcon Media reserves the right to investigate suspected misuse and take proportionate action, including restricting or suspending affected services.

Where reasonably possible, customers will receive notice and an opportunity to remedy the issue, unless immediate action is required for security, legal or operational reasons.

19. Data Protection and Confidentiality

Falcon Media is committed to handling personal information in accordance with applicable UK data protection legislation, including the UK GDPR and Data Protection Act 2018.

Customer information will be used for legitimate business purposes, including service delivery, account administration, technical support and regulatory compliance.

Where Falcon Media processes personal data on behalf of a customer, the parties will enter into appropriate data processing arrangements where legally required.

Confidential business information will be treated with appropriate care and will not be intentionally disclosed without authorisation, except where required by law or necessary for authorised service provision.

Customers remain responsible for their own legal obligations as data controllers, where applicable.

20. Third-Party Suppliers and Services

Falcon Media may use third-party suppliers, hosting providers, software developers, cloud operators, payment processors, advertising platforms and other service providers in delivering its services.

Certain products and services are subject to third-party terms, licence restrictions, service availability and technical limitations.

Falcon Media is not responsible for changes independently introduced by third-party providers, although this does not exclude liability for Falcon Media’s own contractual obligations or failure to exercise reasonable care and skill.

Any additional third-party fees will be communicated where applicable.

21. Limitation of Liability

Falcon Media will exercise reasonable care and skill when supplying goods and services.

To the extent permitted by law, Falcon Media shall not be liable for indirect or consequential commercial losses, including loss of anticipated profits, business opportunities or revenue, where such exclusions are legally enforceable.

For business customers, Falcon Media’s aggregate contractual liability arising from a particular service shall not exceed the total amount paid or payable for that service during the preceding 12 months, except where a different limit is agreed in writing or applicable law prevents such limitation.

Nothing in these terms excludes or restricts liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation or any other liability that cannot lawfully be excluded.

Any liability limits or exclusions are subject to applicable statutory requirements and the requirement that relevant contractual terms be legally reasonable and enforceable.

22. Circumstances Beyond Our Control

Falcon Media shall not be responsible for delays or failures in performance caused by circumstances beyond its reasonable control, including significant internet outages, natural disasters, power failures, industrial action, major cyber incidents or failures of essential third-party infrastructure.

We will take reasonable steps to minimise disruption and resume affected services where practicable.

This provision does not remove statutory rights or remedies that cannot legally be excluded.

23. Changes to Terms & Conditions

Falcon Media may update these Terms & Conditions from time to time to reflect operational, technical, commercial or legal changes.

Updated terms will be published on our website.

Where changes materially affect existing contractual rights or obligations, appropriate notice will be provided and any required consent obtained.

Changes will not retrospectively remove rights already accrued under existing agreements.

24. Governing Law

These Terms & Conditions are governed by the laws of England and Wales.

Disputes will be subject to the jurisdiction of the courts of England and Wales, subject to any mandatory consumer protection rules.
